Senior Paralegal
Position Summary:
We currently have an exciting opportunity for a Senior Paralegal – Corporate and Securities Law. The Senior Paralegal will provide support regarding corporate governance and securities and corporate law matters.
Key Accountabilities:
• Preparing and filing stock transactional reports on Forms 3, 4, and 5
• Obtaining SEC filing codes for new directors and executive officers
• Tracking beneficial ownership of directors and executive officers
• Assisting with the tracking and review of related party transactions and director independence determinations
• Assisting in all aspects of administration of insider trading program
• Coordinating with brokers and plan administrators regarding stock transactions of insiders
• Overseeing relationship with transfer agent
• Coordinating communications internally and with vendors regarding quarterly dividend payments
• Managing annual meeting process, including coordinating with vendors regarding distribution of proxy statement and voting tabulation
• Preparing and filing NYSE required documents and notifications
• Drafting intercompany agreements
• Maintaining a repository of intercompany agreements
• Drafting resolutions, agreements and other documents to support various corporate activities
• Assisting in due diligence reviews
• Managing various corporate law projects, including closings
• Liaising with partners across business entities
• Liaising with local and foreign counsel
• Recommending, developing and implementing actions to improve process quality
• Additional duties as assigned
Skills, Abilities, Experience & Qualifications:
• Bachelor’s degree required
• 5+ years of paralegal experience with a financial emphasis required
• Consummate professional with the ability to operate as an enthusiastic advocate for the Company brand
• Ability to exercise sound judgment and intuitiveness, while being persuasive, positive, collaborative, and receptive to feedback
• Ability to work well independently, efficiently, and proactively to achieve established goals
• Strong critical thinking and analytical skills
• Ability to prioritize and effectively manage multiple tasks simultaneously
• Proficient use of Microsoft Office products, including Word, Excel and Outlook
• Ability to learn and adapt to new technologies quickly
• Excellent interpersonal, written and verbal communication skills, with the ability to effectively communicate with all levels of staff and management
• Demonstrated ability to work effectively and efficiently within a collaborative, team environment
• Demonstrated ability to consistently exhibit a positive, can-do attitude
• Houston, Texas area resident
• Authorized to work for any employer in the United States
• Ability to pass a thorough background check
Work Environment, Physical & Mental Demands:
• Ability to sit and work at a computer keyboard for extended periods of time
• Ability to stoop, kneel, bend at the waist, and reach on a daily basis
• Ability to perform general office administrative activities: writing, copying, filing, delivering and using the telephone
• Able to lift and move up to 25 pounds occasionally
• Must utilize visual acuity, speech and hearing, hand and eye coordination and manual dexterity necessary to operate a computer and office equipment
• Regular and on-time attendance
• Hours regularly exceed 40 hours per week
